La verdad es que en estas situaciones nos podemos encontrar con actitudes miserables que no tienen en cuenta la magnitud de las consecuencias del COVID 19 e igualmente, encontraremos comportamientos que intentar\u00e1n abusar de la situaci\u00f3n y obtener ventajas.<\/span><\/p>\n

La Ley ante situaciones excepcionales no previstas por las partes en un contrato, permite la posibilidad de modificar las relaciones jur\u00eddicas en base a un cambio de circunstancias que se escapa al control de las partes como es este Estado de Alarma decretado por el Gobierno.<\/span><\/p>\n

No es necesario profundizar en este blog sobre conceptos como \u201cfuerza mayor\u201d, \u201crebus sic stantibus\u201d, \u201ccaso fortuito\u201d. Este blog pretende aclarar conceptos no confundir a la gente.<\/span><\/p>\n

Un ejemplo puede ayudar.<\/span><\/p>\n

Un local de un negocio que se ha visto obligado a cerrar durante el Estado de Alarma decretado por el Gobierno, no ha dispuesto de ingresos ni de la posibilidad de generarlos igual que antes del cierre provocado por el COVID 19. No se trata de una simple disminuci\u00f3n de ingresos del negocio sino de la paralizaci\u00f3n total de la actividad. A pesar de la notoriedad de lo anterior, el propietario del local esperar\u00e1 los ingresos de la renta del local para poder atender sus necesidades de vida o incluso el pago de la hipoteca del local.\u00a0<\/span><\/p>\n

\u00bfC\u00f3mo podr\u00eda resolver este supuesto el Derecho?<\/span><\/h2>\n

Ambos tienen raz\u00f3n y ambos no son culpables de la situaci\u00f3n generada. Y es claro que, con independencia de las posibilidades que pueda brindar el Estado (v\u00eda ayudas, subvenciones, etc.) para recuperarse, las partes est\u00e1n obligadas a entenderse y a encontrar una soluci\u00f3n basada en los principios de la buena fe y el justo equilibrio de las prestaciones, que es la que ha de regir en todos los contratos y m\u00e1s en situaciones como la actual.<\/span><\/p>\n

De un lado, el arrendador ha de tener en cuenta que los contratos imposibles de cumplir nunca se van a cumplir por lo que es necesario que flexibilice sus exigencias un tiempo prudencial y los jueces van a estar muy atentos a eso. De otro lado, el arrendatario debe ser capaz de proponer una soluci\u00f3n para poder mantener el negocio en el futuro. No es admisible el impago del 100% de la renta, puesto que provocar\u00eda un uso indebido y abusivo de la situaci\u00f3n para tener una ventaja injusta.<\/span><\/p>\n

Claro est\u00e1, hay muchos matices y formas de arreglar el conflicto: reducir rentas y recuperar lo reducido en un plazo amplio; exoneraci\u00f3n temporal del pago de la renta y posterior incremento, en parte o en todo, de la misma a lo largo del contrato para compensar la anterior bajada, etc. Pero en definitiva, ser dialogantes y creativos no solo ayudar\u00e1 sino que evitar\u00e1 conflictos, tiempos de espera y costes innecesarios. Por experiencia sabemos que es mejor solucionar el conflicto cuando todav\u00eda est\u00e1 en nuestras manos que cuando lo dejamos en manos del Juez.<\/span><\/p>\n
