Nous esp\u00e9rons que vous prenez bien soin de vous et respectez scrupuleusement les directives et r\u00e8gles de distanciation sociale relatives \u00e0 la pand\u00e9mie de coronavirus.<\/p>\n

Malheureusement, certains ne respectent pas les directives et profitent de la situation actuelle afin d\u2019en tirer avantage.<\/p>\n

Dans des circonstances exceptionnelles, la loi permet aux parties de modifier leur contrat en raison de la survenance de situations impr\u00e9vues et ind\u00e9pendantes de la volont\u00e9 des parties, comme cet \u00e9tat d’urgence impos\u00e9 par le Gouvernement.<\/p>\n

Ce blog n\u2019a pas pour objet de discuter de concepts tels que \u00ab\u00a0force majeure\u00a0\u00bb, \u00ab\u00a0rebus sic stantibus<\/i>\u00a0\u00bb ou \u00ab\u00a0cas fortuit\u00a0\u00bb mais il vise \u00e0 clarifier les concepts afin de ne pas induire les gens en erreur.<\/p>\n

\u00ab\u00a0La loi dans des situations exceptionnelles, non pr\u00e9vues par les parties dans leur contrat, permet de modifier les relations juridiques en fonction d’un changement de circonstances ind\u00e9pendant de la volont\u00e9 des parties.\u00a0\u00bb<\/i><\/b><\/p>\n

Prenons l’exemple d\u2019une entreprise locale qui a \u00e9t\u00e9 forc\u00e9e de fermer pendant l’\u00e9tat d’urgence impos\u00e9 par le Gouvernement et qui n’a aucun revenu ni aucune possibilit\u00e9 de g\u00e9n\u00e9rer le m\u00eame montant de revenu qu’avant la situation de lockdown caus\u00e9e par COVID-19. Je ne parle pas d’une simple diminution des revenus de l\u2019entreprise mais d’un blocage total de l’activit\u00e9 commerciale.<\/p>\n

Bien qu\u2019il soit au courant de la situation, le propri\u00e9taire du local compte sur les revenus du local pour couvrir ses besoins voire le paiement de l’hypoth\u00e8que du local.<\/p>\n

Comment la loi peut-elle r\u00e9soudre cette situation ?<\/h2>\n

Les deux parties ont raison et aucune d’entre elles n’est responsable de la situation actuelle. En l\u2019esp\u00e8ce, il est clair qu’avec le soutien que le gouvernement peut offrir (via des aides, des subventions, etc<\/i>\u2026), l’entreprise va se redresser. Les deux parties sont oblig\u00e9es de se comprendre et de trouver une solution bas\u00e9e sur les principes de bonne foi de juste \u00e9quilibre des avantages, principes qui devraient r\u00e9gir tous les contrats, \u00e0 plus forte raison dans des situations comme celle que nous connaissons actuellement.<\/p>\n

\u00ab\u00a0Les deux parties sont tenues de se comprendre et de trouver une solution fond\u00e9e sur les principes de bonne foi et de juste \u00e9quilibre des avantages\u00a0\u00bb.<\/i><\/b><\/p>\n

D’une part, le propri\u00e9taire doit tenir compte du fait que les contrats qui sont impossibles \u00e0 ex\u00e9cuter ne le seront jamais et il est donc n\u00e9cessaire que leurs demandes soient flexibles pendant une dur\u00e9e raisonnable, ce \u00e0 quoi les juges seront tr\u00e8s attentifs. D\u2019autre part, le locataire doit \u00eatre en mesure de proposer une solution pour pouvoir maintenir l’entreprise \u00e0 l’avenir. Le non-paiement de la totalit\u00e9 du loyer n’est pas admissible car cela reviendrait \u00e0 abuser de la situation afin d\u2019en tirer un avantage.<\/p>\n

Bien s\u00fbr, il existe de nombreuses mani\u00e8res de r\u00e9soudre le conflit : r\u00e9duire les loyers et r\u00e9cup\u00e9rer ce qui est r\u00e9duit sur une longue p\u00e9riode, une exemption temporaire du paiement du loyer et une augmentation subs\u00e9quente, en tout ou en partie, de celle-ci tout au long du contrat pour compenser la diminution pr\u00e9c\u00e9dente, etc<\/i>\u2026<\/p>\n

Mais en fin de compte, la communication et la cr\u00e9ativit\u00e9 aideront non seulement \u00e0 \u00e9viter les conflits mais \u00e9galement les temps d’attente et les co\u00fbts inutiles.<\/p>\n

Par exp\u00e9rience, nous savons qu’il vaut mieux r\u00e9soudre le conflit par nous-m\u00eames que de le laisser entre les mains du Juge.<\/p>\n
